1 Who we are and what these Terms of Use do
We are Sentai Ltd, a company incorporated in England and Wales (company number 12049288) whose registered office is at 71-75 Shelton Street, London, WC2H 9JQ. This document sets out the terms on which we will supply the Sentai App.
2 Definitions used in these Terms of Use
Sentai App: the mobile app to which each Sentai User and Sentai App User will be granted access. The Sentai App is used by the Sentai App User to communicate with, and obtain information about, the Sentai User, with the Sentai User’s permission.
Sentai App User: means the person who uses the Sentai App, which can include, but is not limited to, a relative, friend or medical professional.
Sentai Service: includes the provision of the Sentai Smart Speaker and Software, as well as access to the Sentai App.
Sentai Smart Speaker: the speaker unit in the possession of the Sentai User, which connects to the Software.
Sentai User: the individual with possession of the Sentai Smart Speaker, who has purchased a subscription to the Sentai Service, or on whose behalf such subscription has been purchased.
Software: the online software application(s) provided by Sentai as part of the Sentai Service.
3 Access to the Sentai App and other terms that may apply
The Sentai App can be downloaded by any Sentai App User.
Under data protection legislation, Sentai is required to provide you, as the Sentai App User, with certain information including who we are, how we process your personal data and for what purposes and your rights in relation to your personal data and how to exercise them. This information is set out in our Privacy Notice which can be viewed on our website at www.sentai.co.uk/privacy-policy
4 Support for the Sentai App
If you want to learn more about the Sentai App or the Sentai Service or have any problems using them, please take a look at our support resources at www.sentai.co.uk
If you think the Sentai App or the Sentai Service are faulty or misdescribed or wish to contact us for any other reason, please contact our customer service team on our website at www.sentai.co.uk/support
If we have to contact you, we will do so by email, using the contact details you have provided to us.
5 Intellectual Property Rights
All intellectual property rights in the Sentai Service throughout the world belong to Sentai (or Sentai’s licensors) and the rights in the Sentai Service are licensed (not sold) to you. You have no intellectual property rights in, or to, the Sentai Service other than the right to use it in accordance with these terms.
6 Limitation of liability
The Sentai Service does not offer advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of information obtained from the Sentai Service.
Although we make reasonable efforts to update the information provided by the Sentai Service, Sentai makes no representations, warranties or guarantees, whether express or implied, that such information is accurate, complete or up to date.
Sentai does not diagnose or triage medical conditions.
Sentai is not an emergency call solution. Sentai cannot guarantee 100% uptime, and the Sentai App must not be used, or expected to work, in an emergency.
The direct call feature in the Sentai App must not be set up to dial emergency services.
The Sentai Service uses Artificial Intelligence (AI). Sentai:
- is not responsible for unexpected outcomes based on the Sentai App User’s input, based on prompting the AI in the unsuitable way or entering incorrect information.
- is not liable for instructions that the Sentai App User enters in the Sentai App, for example wrong medications or misleading instructions.
- is not responsible for the AI not correctly understanding the Sentai App User’s instructions.
- is not responsible for the AI hallucinating.
- is not responsible for the AI offending Sentai App Users.
- cannot guarantee uptime of any external AI related service.
- is not responsible for unexpected outcomes due to unannounced changes by service providers.
The Sentai App User cannot jailbreak the AI by attempting to prompt the Sentai App to do things that it has not been designed for, change its personality, or purpose, or deliberately trying to bypass content filters.
7 Sentai is not responsible for events outside our control
If Sentai’s provision of, or support for, the Sentai Service is delayed by an event outside Sentai’s control then Sentai will, as soon as possible, publish information relating to the system outages and downtime in the Sentai App and on Sentai’s website. Provided Sentai does this, Sentai will not be liable for delays caused by the event.
8 Sentai’s right to revoke access to the Sentai App
In the event that the Sentai App User breaches these Terms of Use:
- if the breach can be corrected, Sentai will notify the Sentai App User of that breach and provide a reasonable opportunity to correct the breach; or
- if the breach cannot be corrected, or is not corrected within the time specified by Sentai, Sentai will immediately revoke the Sentai App User’s access to the Sentai App.
If Sentai revokes access to the Sentai App, the Sentai App User must:
- stop all activities authorised by these Terms of Use; and
- delete the Sentai App.
9 Transferring these Terms of Use
Sentai may transfer its rights and obligations under these Terms of Use to another organisation. Sentai will notify you in writing if this happens and will ensure that the transfer will not affect the Sentai App User’s rights under these Terms of Use.
The Sentai App User may not transfer their rights or obligations.
10 No rights for third parties
These Terms of Use do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.
11 If a court finds part of these Terms of Use illegal, the rest will continue in force
Each of the paragraphs of these Terms of Use operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
12 Even if Sentai delays in enforcing these Terms of Use, we can still enforce them later
Even if Sentai delays in enforcing these Terms of Use, Sentai can still enforce them later.
13 Which laws apply and where the Sentai App User may bring legal proceedings
These Terms of Use are governed by English law. The Sentai App User can bring legal proceedings in respect of the Sentai App in the English courts. If you live in Scotland, you can bring legal proceedings in respect of the Sentai App in either the Scottish or the English courts. If you live in Northern Ireland, you can bring legal proceedings in respect of the Sentai App in either the Northern Irish or the English courts.
